Important: By accessing or using The KPI Hub, you agree to be bound by these Terms of Service. If you do not agree, you must not use the platform. These Terms constitute a legally binding agreement between you and The KPI Hub.

Acceptance of Terms

By accessing, browsing, registering for, or using The KPI Hub platform (available at thekpihub.com), including any features, content, applications, or services offered by The KPI Hub (collectively, the "Platform"), you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy.

These Terms apply whether you access the Platform as a guest, a waitlist member, or a registered account holder. Your continued use of the Platform following any modification to these Terms constitutes your acceptance of those changes.

Clickwrap Agreement: By clicking "Get Early Access", "Sign Up", "Continue", or any similar button or link, or by otherwise accessing or using the Platform, you affirmatively consent to these Terms, forming a legally binding contract. This constitutes an electronic signature under the Information Technology Act, 2000 (India).

Eligibility

To use the Platform, you must:

By using the Platform, you represent and warrant that you meet all eligibility requirements. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

No access for minors: The Platform is not intended for persons under 18. If we discover that a user is under 18, we will immediately terminate that account and delete all associated data.

Account Registration

Certain features of the Platform require you to create an account. When registering, you agree to:

Account Security

You are responsible for maintaining the security of your account credentials. The KPI Hub will not be liable for any loss or damage arising from your failure to maintain the security of your account. We reserve the right to disable any account at our sole discretion if we reasonably believe your account has been compromised or is being used in violation of these Terms.

One Account Per Person

You may register only one account per individual. Creating multiple accounts to circumvent restrictions or access limits is a violation of these Terms and may result in permanent suspension.

License Grant

Subject to your compliance with these Terms, The KPI Hub grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal professional purposes during the term of your subscription or access period.

Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in a manner consistent with all applicable laws, regulations, and these Terms. The following activities are strictly prohibited:

Scraping & Automated Access: Using bots, crawlers, scrapers, or automated scripts to extract content from the Platform without express written permission.
Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or discover the source code or underlying algorithms of the Platform.
Credential Sharing: Sharing your login credentials, API keys, or account access with any third party, including colleagues in a team setting unless authorised.
Spam & Abuse: Sending unsolicited communications, spam, or bulk messages through any Platform feature including the intelligence assistant.
False Information: Submitting false, misleading, or deceptive information, including false account details or fraudulent content submissions.
Platform Disruption: Attempting to overload, disrupt, or interfere with the Platform's infrastructure, including DDoS attacks or injection attacks.
Circumventing Controls: Attempting to bypass or circumvent any access controls, paywall, rate limits, or security mechanisms.
Unlawful Use: Using the Platform for any unlawful purpose, including violation of intellectual property rights, fraud, or harassment of other users.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund, and may expose you to civil or criminal liability.

Intellectual Property

6.1 Platform IP — Owned by The KPI Hub

The Platform and all of its content, features, and functionality — including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, intelligence reports, AI models, software, and the selection and arrangement thereof — are owned by The KPI Hub, its licensors, or other content providers and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The KPI Hub name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of The KPI Hub. You may not use such marks without prior written consent.

6.2 User-Submitted Content

You retain full ownership of any content you submit to the Platform ("User Content"), including feedback, reviews, or data you voluntarily contribute.

By submitting User Content, you grant The KPI Hub a worldwide, royalty-free, non-exclusive, perpetual licence to use, reproduce, adapt, publish, translate, and distribute such content for the purpose of operating and improving the Platform. This licence does not affect your ownership rights.

You represent and warrant that:

6.3 Feedback

Any feedback, suggestions, or ideas you provide to The KPI Hub about the Platform ("Feedback") may be used by us without restriction or compensation to you. You waive any moral rights in such Feedback to the extent permitted by law.

Free Trial & Early Access Terms

Early Access Notice: The KPI Hub is currently in Early Access. Features, availability, and data may change at any time. Early Access is provided at our sole discretion and may be withdrawn without notice.

If you access the Platform during a free trial or early access period, the following additional terms apply:

Coming Soon: Paid subscription plans are not yet available. This section describes the terms that will govern future paid plans and is included for completeness.

Data & Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, The KPI Hub expressly disclaims all warranties, including but not limited to:

AI-generated content and intelligence outputs are provided for informational purposes only and do not constitute financial, legal, investment, or professional advice. You should independently verify all information before making business decisions based on Platform content.

Nothing in this section affects rights that cannot be excluded or limited under applicable consumer protection law.

Limitation of Liability

To the fullest extent permitted by applicable law:

11.1 Exclusion of Consequential Damages

In no event shall The KPI Hub, its directors, employees, affiliates, agents, contractors, or licensors be liable for any:

11.2 Liability Cap

The KPI Hub's total cumulative liability to you for all claims arising under or related to these Terms or the Platform shall not exceed the greater of:

The limitations and exclusions in this Section reflect a fair allocation of risk between the parties and are an essential basis of the bargain between the parties. The KPI Hub would not have entered into these Terms without these limitations.

Indemnification

You agree to defend, indemnify, and hold harmless The KPI Hub and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

The KPI Hub reserves the right to assume exclusive defence and control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with our defence of such claims.

Third-Party Services

The Platform may contain links to third-party websites, tools, data sources, or services ("Third-Party Services") that are not owned or controlled by The KPI Hub. These links are provided for convenience only.

We encourage you to review the terms and privacy policies of any Third-Party Services you access through or in connection with the Platform.

Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@thekpihub.com or through the account settings page. Termination of your account will take effect within 5 business days of your request.

14.2 Termination by The KPI Hub

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any of the following reasons:

14.4 Data Export Window

30-Day Data Export: Following termination (other than for cause), you will have a 30-calendar-day window to request an export of your personal data and any content you created on the Platform. After this window, your data will be deleted in accordance with our Privacy Policy. To request an export, email support@thekpihub.com with the subject line "Data Export Request".

No data export window applies in cases of termination for cause (e.g., fraud, illegal activity, or material breach).

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

Subject to the dispute resolution mechanism in Section 16, the courts of Delhi, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Platform.

If you are accessing the Platform from outside India, you are responsible for compliance with local laws and regulations applicable to your use of the Platform.

Dispute Resolution

16.1 Grievance Mechanism

If you have a dispute or grievance regarding the Platform or these Terms, please first contact our Grievance Officer at info@thekpihub.com. We will acknowledge your grievance within 48 hours and aim to resolve it within 30 calendar days.

16.2 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute informally by negotiation for a period of 30 days from the date one party notifies the other in writing of the dispute.

16.3 Arbitration

If a dispute cannot be resolved informally, it shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (India) as amended, subject to the following:

16.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or interim relief from a competent court in Delhi to prevent irreparable harm, without waiving the right to arbitration.

16.5 No Class Actions

You agree to resolve disputes with The KPI Hub on an individual basis only. You waive any right to bring or participate in class-action proceedings to the extent permitted by applicable law.

Modifications to Terms

The KPI Hub reserves the right to modify these Terms at any time. We will provide notice of material changes as follows:

For non-material changes (such as clarifications, corrections, or additions that do not adversely affect your rights), we may update the Terms without advance notice.

If you do not agree to the modified Terms, your sole remedy is to stop using the Platform and close your account before the effective date of the changes. Continued use after the effective date constitutes acceptance.

Force Majeure

The KPI Hub shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure results from causes beyond our reasonable control, including but not limited to:

In the event of a force majeure, The KPI Hub will use commercially reasonable efforts to resume performance as soon as practicable and will notify affected users where feasible.

Entire Agreement & Severability

19.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and The KPI Hub with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, or warranties, whether written or oral.

19.2 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.

19.3 Waiver

Failure by The KPI Hub to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision in any subsequent or future instance.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without The KPI Hub's prior written consent. The KPI Hub may freely assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets.

19.5 Language

These Terms are written in English. In the event of any conflict between a translated version and the English version, the English version shall prevail.
